LeadsCloud Terms of Service

Effective date: Jan 2025
Last updated: Nov 2026

These Terms of Service ("Terms") are an agreement between you and DISPARATE LLC ("LeadsCloud," "we," "us"). They govern your use of https://leadscloud.pro, LeadsCloud AI Studio at https://ai.leadscloud.pro, our API, our MCP server, and related services (the "Services"). By using the Services you agree to these Terms and to our Privacy Policy. If you use the Services for an organization, you confirm that you are authorized to bind that organization.

1. Eligibility and Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You must give accurate account information and keep it up to date.
  • You are responsible for your credentials, API keys, and MCP connections, and for all activity under your account. Tell us promptly at info@disparate.ai about any unauthorized use.

2. Acceptable Use

You agree not to:

  • break any law, including advertising, consumer-protection, anti-spam, privacy, and fair housing or anti-discrimination laws;
  • publish content that is false, misleading, defamatory, infringing, hateful, harassing, or sexually exploitative;
  • upload or process personal data without a lawful basis, or send unsolicited messages to leads;
  • misuse connected platforms, for example through fake engagement, spam, or evading platform limits;
  • reverse engineer, scrape, overload, or interfere with the Services, or try to bypass security or usage limits; or
  • resell or provide the Services to others except as we allow.

3. Your Content and Third-Party Platforms

You keep ownership of the content and data you submit ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display User Content only as needed to provide the Services.

You are solely responsible for User Content and for everything published through your connected accounts.

When you connect Facebook, Instagram, X, LinkedIn, Google, or other services, you must also follow those platforms' terms and policies. We are not responsible for third-party platforms, their availability, API changes, or their actions against your accounts.

Google Business Profile posts and review replies are prepared only as drafts. You decide whether to publish them.

4. AI-Generated Content

The Services use artificial intelligence to generate text, images, and recommendations. AI output may be inaccurate, incomplete, or similar to content generated for others. You must review all output before you use or publish it, and you are responsible for making sure it is accurate and lawful. This includes truth-in-advertising, industry-specific rules (for example, real estate and fair housing advertising rules), and platform policies. AI output is not legal, financial, or professional advice.

5. Data and Rankings from Third Parties

Analytics, search, ranking, and business data come from third parties such as Google and DataForSEO. They are provided "as is," may be delayed or estimated, and are not guaranteed to be accurate.

6. Paid Features, Usage Charges, and Spending Caps

Some features require payment, such as subscriptions, credits, or usage-based charges for things like rank-tracking scans. Prices are shown in the app before you buy. Subscriptions renew automatically at the end of each billing period until you cancel, and you can cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period. Fees already paid, including partial billing periods and used credits or usage charges, are non-refundable except where the law requires a refund or we decide otherwise at our discretion. If you believe you were charged in error, contact us within 30 days of the charge and we will review it.

Payments are processed by a third-party payment processor. You authorize us and our processor to charge your payment method for the fees you incur, plus any applicable taxes.

Where the Services offer spending caps or budgets, usage-based activity stops or pauses when the cap you set is reached. You are responsible for charges incurred up to that cap. Caps are a convenience tool, and you should monitor your usage.

Except where required by law or stated otherwise at purchase, fees are non-refundable. We may change prices with advance notice.

7. Intellectual Property

The Services, including software, design, trademarks, and documentation, are owned by LeadsCloud or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services under these Terms. If you send us feedback, we may use it without obligation to you.

8. Suspension and Termination

You may stop using the Services and close your account at any time. We may suspend or end your access if you breach these Terms, create risk or legal exposure, or fail to pay, or if we stop offering the Services. Where reasonable, we will give notice. Sections that by their nature should survive termination will survive, including ownership, payment obligations, disclaimers, limitation of liability, and indemnity.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE ANY PARTICULAR TRAFFIC, RANKING, LEAD, OR BUSINESS RESULT, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LEADSCLOUD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) US $100.

11. Indemnity

You will defend and indemnify LeadsCloud against third-party claims arising from your User Content, your use of the Services, or your violation of these Terms or any law.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in the State of Wyoming, and you and Disparate LLC consent to the personal jurisdiction of those courts, unless applicable law requires otherwise.

13. Changes to These Terms

We may update these Terms. If we make material changes, we will notify you by email or in the Services before they take effect. If you keep using the Services after that, you accept the updated Terms.

14. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Services. If any provision is unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent.
